Theodore Weitz is of counsel to the firm of Ferdinand IP.  He previously was a founding member of Halket Weitz, LLP. Mr. Weitz has over 40 years of experience as both in house and outside counsel, including principal legal responsibility for major matters, such as acquisi­tions, dispositions, mergers, and invest­ments for both acquiring and target com­panies; joint ventures and licensing agree­ments; general commercial matters; cor­porate governance and compliance; Securi­ties Act compliance; human resource and compensation matters; intellectual prop­erty licensing and acquisition; major litigation including securities, intellectual property, commercial and antitrust; and regulatory matters.

Biography

He is a graduate of Columbia University School of Law, where he was a Harlan Fiske Stone scholar, Teaching Fellow, and research assistant to Prof. Willis L. M. Reese on the Restatement, Second, of Conflicts of Law; Pace University (B.A.); and the Bronx High School of Science.  He is an Adjunct Professor at Rutgers Law School where he has helped design and is one of the directors of the Entrepreneurial Law Clinic.  He has also been an Adjunct Professor of Law at Fordham Law School where his courses have included business planning for technology based companies, IP transactions and Entrepreneurial Law.

Mr. Weitz has over 40 years of experience as both in house and outside counsel, including principal legal responsibility for major matters, such as acquisi­tions, dispositions, mergers, and invest­ments for both acquiring and target com­panies; joint ventures and licensing agree­ments; general commercial matters; cor­porate governance and compliance; Securi­ties Act compliance; human resource and compensation matters; intellectual prop­erty licensing and acquisition; major litigation including securities, intellectual property, commercial and antitrust; and regulatory matters.His practice now centers on general corporate matters for emerging companies, including organization, financing, contracts and compliance; and on transactional work for entities of all sizes. He has also acted as advisor to companies on managing legal organizations and related functions and counsel to universities. He is a member of the New York and New Jersey bars.

Prior to forming Halket Weitz, Mr. Weitz was general counsel of several companies in technology and telecommunications, including ITXC Corp., a publicly held provider of international wholesale telecommunication service using Voice over Internet Protocol ("VOIP"), and ITXC's successor, Teleglobe; Tachion, a producer of cutting edge telecommunications switching equipment; and Dialogic, a publicly held manufacturer and developer of computer telephony equipment and software which was acquired by Intel. He was senior counsel at Intel in their communications products business, during which time he was lead counsel on a number of acquisitions and Intel Capital investments. Prior to Dialogic Mr. Weitz had been a senior attorney at Lucent, AT&T and UNIX System Laboratories. He was also counsel for Lucent's new ventures group at its inception. Before joining AT&T, he was at Winthrop Stimson Putnam & Roberts in New York (now Pillsbury Winthrop).

Mr. Weitz is former Chairman of the Computer Law committee of the Association of the Bar of the City of New York, is a member of its Information Technology committee and has been active in numerous other committees; he was vice chair of the Uniform Commercial Code Task Force of the ABA Section on Science and Technology; and has been a frequent public speaker in computer and technology law, issues affecting corporate law departments and their management, and corporate governance and risk. He has also been on the Dean’s Advisory Board for Dyson College, Pace University and the Human Subject Committee of the American Health Foundation.

He has been the author of a number of articles, most recently State Crowdfunding And The Intrastate Exemption Under Federal Securities Laws—Less Than Meets The Eye?, 34 Boston U. Rev. of Banking and Financial Law 521 (2016).
