Cloud computing is a $200+ billion industry that continues to grow rapidly, transforming how companies operate and unleashing unlimited new market opportunities.

As existing cloud deployments scale and new models develop, it’s essential for lawyers to take a leading role in understanding cloud technologies and advising clients on how to maximize the benefits of the cloud while managing its potential risks.

This course will begin by providing a foundational overview of cloud computing, and then turn to a detailed review of the key terms and conditions in publicly available cloud contracts. With this grounding, the course will explore the overarching roadblocks to cloud market saturation – i.e., privacy and security concerns – and suggest ways to address them. The course will conclude by studying how cloud computing is disrupting three highly regulated, traditional industries and driving innovation in two emerging fields.

Throughout the semester, students will be required to develop and refine skills that are critical to long-term success as a cloud attorney, most importantly how to structure, draft, analyze, and negotiate contracts from both a vendor and customer perspective using real-world examples.
