Much of the practice of securities law focuses on the regulation of investment professionals, who are positioned between investors and companies issuing securities, such as broker-dealers, investment advisers, and mutual funds. Regulation of Securities Intermediaries covers the regulation of these persons and firms. We will focus primarily on the regulation of investment advisers, mutual funds, and hedge funds, but we will also discuss the role of broker-dealers. The course will focus on regulation by the U.S. Securities and Exchange Commission, but it will also cover private enforcement of the securities laws. The course will provide background on the financial services industry, especially the investment management industry, that will be useful for those considering practice in the area. No financial background is necessary. The course complements the securities regulation survey course, which typically does not focus extensively on brokers, advisers, and funds. The course will have a final exam, likely to be part essay and part multiple choice, but it may include an oral component as well.
