More than half of all publicly traded U.S. companies are incorporated in Delaware. Delaware is the national leader in corporate law as a result of the flexible, modern Delaware corporation statute and the renowned Delaware Chancery Court. The course is an exciting, real-life simulation of the litigation of a corporate dispute involving interesting issues of Delaware corporate law in the Chancery Court. Students will engage in the same strategic analyses performed by practicing attorneys, taking into account not only the legal merits of the claim, but also the unique interests of their clients. Students will get hands-on experience by drafting pleadings, discovery requests and summary judgment motions. They will be placed on the ground and in the action through their participation in an initial client interview, a simulated “meet and confer” conference to resolve scheduling and discovery disputes, and a summary judgment argument.
